1. Agreement to Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an organization or entity (“you”, “your”, or “Customer”), and [LEGAL COMPANY NAME], operating the NanoLead service (“NanoLead”, “we”, “us”, or “our”).

These Terms govern your access to and use of the NanoLead website, application, software, features, services, and related functionality (collectively, the “Service”).

By creating an account, starting a trial, purchasing a subscription, or accessing or using the Service, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree with these Terms, you must not access or use the Service.

2. Eligibility and Authority

NanoLead is intended primarily for business and professional use. By using the Service, you represent that you have the legal capacity to enter into these Terms.

If you are using NanoLead on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, “you” and “your” refer to both you and the entity you represent.

3. Accounts and Registration

Certain features of NanoLead require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep that information reasonably up to date.

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for activities performed through your account, subject to applicable law and our security obligations.
  • You must promptly notify us if you suspect unauthorized access to your account.
  • You must not share credentials in a manner that violates your subscription limits or security requirements.
  • You must not create accounts using false, misleading, or fraudulent information.

4. Organizations, Administrators, and Users

NanoLead allows organizations to create workspaces and invite employees, team members, managers, sales executives, or other authorized users.

The organization administrator or authorized account owner may manage users, roles, permissions, workspace settings, subscription information, and other organization-level features according to the applicable plan.

Organization administrators are responsible for ensuring that individuals invited to their workspace are authorized to access the organization's NanoLead account and data.

5. 7-Day Free Trial

NanoLead may provide eligible new customers with a 7-day free trial to evaluate the Service before purchasing a paid subscription.

  • No subscription fee is charged during the free trial unless expressly stated otherwise.
  • The trial period begins when it is activated for the applicable account or organization.
  • Trial eligibility may be limited to new customers or organizations.
  • NanoLead may restrict repeated or abusive use of free-trial offers.
  • At the end of the trial, access to paid features may require activation of a paid subscription.

Unless clearly disclosed during signup or checkout, a free trial does not itself constitute a paid subscription.

6. Subscriptions, Payments, and Billing

After the free trial, customers may purchase a NanoLead subscription according to the plans and prices displayed on the website or within the application.

  • Subscription plans may be billed monthly or annually depending on the plan selected.
  • Prices, features, usage limits, billing frequency, and applicable taxes will be presented during the applicable purchase process.
  • You authorize NanoLead or its designated payment provider to process payments for your selected subscription.
  • As part of the subscription and autopay mandate setup process, a verification charge of ₹5 may be authorized and collected from your payment method. This charge will be clearly disclosed to you before completing payment. By proceeding with the payment, you acknowledge and agree to this charge. This ₹5 verification charge is not automatically refunded and is generally non-refundable, subject to applicable law and our Refund Policy.
  • You are responsible for providing accurate billing and payment information.
  • Failed or declined payments may result in restricted access, suspension, or termination of paid features.

7. Subscription Renewal and Cancellation

Where automatic renewal is enabled for a subscription, the subscription may renew at the end of the applicable billing period using the payment method associated with the account.

Customers may cancel their subscription using the available cancellation controls or by contacting NanoLead's billing team.

Cancellation generally prevents future renewal charges but does not automatically refund charges that have already been processed. Access may continue until the end of the current paid billing period unless otherwise stated.

8. Refunds

NanoLead provides a free trial so that eligible customers can evaluate the Service before purchasing a paid subscription.

Accordingly, paid subscription fees are generally non-refundable after purchase, except where a refund is required by applicable law or approved by NanoLead.

Refunds or billing adjustments may be considered for verified duplicate payments, billing errors, unauthorized transactions, or other circumstances described in our Refund Policy.

The ₹5 payment verification charge is also non-refundable and not automatically refunded, subject to the terms of Section 6 and our Refund Policy.

9. Plan Changes and Pricing

NanoLead may introduce new plans, modify existing plans, change features, adjust usage limits, or update subscription prices from time to time.

Where a pricing change affects an existing paid subscription, NanoLead will provide notice where required by applicable law or where reasonably appropriate. Customers may have the option to cancel future renewals if they do not agree with a future price change.

10. Customer Data and CRM Information

NanoLead allows customers to store and manage leads, contacts, customer information, notes, activities, follow-ups, and other business information through the Service (“Customer Data”).

As between NanoLead and the customer, the customer retains its rights in Customer Data that it submits to the Service, subject to the rights necessary for NanoLead to provide, secure, maintain, and improve the Service.

Customers are responsible for ensuring that they have the appropriate rights, permissions, notices, and lawful basis required to collect and process information entered into NanoLead.

11. Privacy and Data Protection

Our collection and use of personal information is described in our Privacy Policy.

By using NanoLead, you acknowledge that personal information may be processed as necessary to provide the Service, maintain security, administer accounts, process payments, provide support, and fulfill other purposes described in our Privacy Policy and applicable law.

Please review our Privacy Policy for details regarding data collection, use, retention, security, deletion, and privacy rights.

12. Acceptable Use and Prohibited Activities

You may use NanoLead only for lawful business and professional purposes and in accordance with these Terms.

You must not:

  • Use NanoLead for unlawful, fraudulent, deceptive, abusive, or harmful activities.
  • Use the Service to send spam, unsolicited bulk communications, or communications that violate applicable laws.
  • Upload malware, viruses, ransomware, malicious scripts, or other harmful code.
  • Attempt to gain unauthorized access to NanoLead, another customer's workspace, systems, accounts, or infrastructure.
  • Attempt to bypass subscription limits, authentication controls, rate limits, or other technical restrictions.
  • Reverse engineer, decompile, disassemble, or attempt to discover source code except where such restriction is prohibited by law.
  • Scrape, crawl, copy, or systematically extract data from the Service without authorization.
  • Use unauthorized bots, scripts, automation tools, or API access to interfere with the Service.
  • Upload information that you do not have the legal right to process or share.
  • Use the Service to violate intellectual property, privacy, or other rights of third parties.

13. Third-Party Services and Integrations

NanoLead may provide integrations with third-party services, platforms, payment providers, communication services, analytics providers, or other external systems.

Your use of a third-party service may be subject to that provider's own terms, conditions, privacy policy, and other requirements.

NanoLead is not responsible for the availability, functionality, security, policies, or practices of third-party services that are outside our reasonable control.

14. Intellectual Property

NanoLead and its associated software, website, interface, design, branding, logos, documentation, features, text, graphics, technology, and other materials are owned by or licensed to NanoLead and are protected by applicable intellectual property laws.

Subject to these Terms and your active subscription, NanoLead grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal business purposes.

Except as expressly permitted by these Terms or applicable law, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from NanoLead or its proprietary materials.

15. Feedback and Suggestions

If you provide suggestions, ideas, recommendations, bug reports, or other feedback about NanoLead, you grant us permission to use that feedback to improve and develop the Service without compensation or obligation to you, provided that such use does not disclose your confidential information or Customer Data inappropriately.

16. Service Availability and Maintenance

We aim to keep NanoLead available and reliable, but we do not guarantee that the Service will always be uninterrupted, error-free, or available at all times.

The Service may occasionally be unavailable due to maintenance, updates, security measures, infrastructure failures, third-party service interruptions, network problems, or circumstances beyond our reasonable control.

Where reasonably practicable, we may provide notice of planned maintenance that materially affects availability.

17. Suspension of Accounts

NanoLead may temporarily suspend access to an account or organization where reasonably necessary to protect the Service, users, Customer Data, or our infrastructure.

Suspension may occur in circumstances including:

  • Suspected unauthorized access or security threats
  • Fraudulent or abusive activity
  • Material violation of these Terms
  • Unlawful use of the Service
  • Non-payment or failed subscription billing
  • Activities that materially affect the security or availability of the Service

Where reasonably practicable and legally permitted, we will take reasonable steps to notify the affected account and provide an opportunity to resolve the issue.

18. Termination

You may stop using NanoLead and cancel your subscription according to the cancellation procedures applicable to your account.

NanoLead may suspend or terminate an account where you materially violate these Terms, engage in unlawful or abusive activity, fail to pay applicable subscription fees, or where termination is reasonably necessary to protect the Service or other users.

Termination does not automatically waive any payment obligations that accrued before termination.

19. Data After Cancellation or Termination

Following cancellation, expiration, or termination, access to certain features or Customer Data may be restricted depending on the applicable subscription status and account configuration.

Customer Data may be retained, archived, exported, or deleted in accordance with our Privacy Policy, applicable subscription terms, operational retention practices, and applicable law.

20. Disclaimers

To the maximum extent permitted by applicable law, NanoLead provides the Service on an “AS IS” and “AS AVAILABLE” basis.

We do not guarantee that the Service will always be uninterrupted, completely secure, error-free, or available at every location or at all times.

We do not guarantee that the Service will meet every particular business requirement or that use of the Service will produce a particular sales, marketing, revenue, or business outcome.

21. Limitation of Liability

To the maximum extent permitted by applicable law, NanoLead and its officers, directors, employees, affiliates, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Service.

This may include loss of profits, revenue, business opportunities, goodwill, anticipated savings, or business interruption, subject to applicable law.

To the maximum extent permitted by applicable law, NanoLead's aggregate liability arising out of or relating to the Service or these Terms will not exceed the amount you paid to NanoLead for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

22. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless NanoLead and its officers, directors, employees, and service providers from claims, liabilities, damages, losses, and reasonable expenses arising from your unauthorized use of the Service, your violation of these Terms, or your violation of applicable law or third-party rights.

23. Confidentiality

Each party may receive confidential information from the other party in connection with the Service. Each party agrees to use reasonable care to protect confidential information and to use it only for purposes related to the applicable business relationship, subject to applicable law and the terms of any separate agreement between the parties.

24. Events Beyond Our Reasonable Control

NanoLead will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, widespread internet or telecommunications failures, government actions, war, civil unrest, labor disruptions, major infrastructure failures, or failures of third-party providers, except to the extent liability cannot legally be excluded.

25. Governing Law and Dispute Resolution

These Terms will be governed by and interpreted in accordance with the laws of India, except to the extent mandatory applicable law provides otherwise.

The parties will first attempt to resolve disputes through good faith discussions and reasonable efforts to reach an amicable resolution.

Subject to applicable law and any mandatory dispute-resolution rights, disputes that cannot be resolved amicably may be submitted to the courts having appropriate jurisdiction in [CITY, STATE, INDIA].

26. Changes to These Terms

NanoLead may update these Terms from time to time to reflect changes to the Service, subscription plans, business practices, technology, or applicable legal requirements.

Updated Terms will be published on this page with a revised “Last Updated” date. Where required or appropriate, we may provide additional notice of material changes.

27. Severability and Waiver

If any provision of these Terms is found to be invalid, unenforceable, or unlawful, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will continue in effect.

A failure by NanoLead to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.

28. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and any additional terms or agreements expressly incorporated into them, constitute the agreement between you and NanoLead regarding your use of the Service, except where a separate written agreement expressly applies.
